FA311 fails on set_power_state()

Hello,

SUMMARY:
Netgear FA311TX with natsemi.o driver fails when set_power_state(0x100,
APM_STATE_READY) is called.

DESCRIPTION:
I have been trying to figure out why my Netgear FA311TX would stop seeing
packets on the lan when an X server quit. I have traced the problem
through the VT code and into the APM code. Specifically, when the
ioctl(fd, KDSETMODE, KD_TEXT) is called, the following sequence of calls
occur:

vt.c:unblank_screen()
console.c:console_blank_hook(0) == (i386)apm.c:apm_console_blank(0)
set_power_state(0x100, state), state == linux/apm_bios.h:APM_STATE_READY

At this point, tcpdump stops showing any packets on the FA311's network.
Simply ifup'ing the FA311 makes it work properly again. I've played
around with reordering PCI cards, etc, thinking it might be an interrupt
problem, but this didn't remove the problem. I also disabled all
nonessential drivers, leaving basically SCSI, IDE, IDE/RAID, and ethernet,
but the problem remained. However, if someone thinks it would be useful,
I'll compile as "bare" of kernel as I can and try again since I wasn't
particularly careful about really removing *all* nonessential drivers.

HARDWARE and KERNEL:
I'm running an MSI K7T Turbo RAID motherboard with the VIA KT133A chipset.
There are more details below from lspci, etc. I have found one person
with an EPoX 8KTA3 motherboard (also VIA KT133A-based) and FA311TX NIC
that has the same problem. I have found one person with a Tyan Tiger 133A
with the Via Apollo Pro 133A chipset and another with an ASUS A7V with VIA
KT133 chipset that don't have this problem. All of us are using a 2.4.x
kernel (I'm currently using 2.4.4pre-3, and have used several other 2.4.x
kernels with the same result) with the forward-ported natsemi.o driver.

It is probably worth noting, though probably implied by the above stuff,
that I have APM stuff compiled in the kernel including console blanking:

My system has a strange interrupt-related behavior that may be relevant.
In particular, when the via82cxxx_audio.o module is loaded, I receive the
messages:

kernel: PCI: Found IRQ 10 for device 00:07.5
kernel: IRQ routing conflict in pirq table for device 00:07.5
kernel: PCI: The same IRQ used for device 00:09.0
kernel: PCI: The same IRQ used for device 00:0f.0

07.5 is the audio controller, 09.0 is a Netgear FA310TX (*not* the
FA311TX), and 0f.0 is a Promise 20265 IDE RAID controller. According to
/proc/interrupts, the audio controller is on IRQ 5, not IRQ 10 as the
above messages state. The BIOS also shows the audio controller on IRQ 5
during boot. What I think makes this relevent to the FA311TX is that the
FA311 shares IRQ 5 with the audio controller, according to the BIOS and
/proc/interrupts.
